1. The integrate.ai Platform. IAI facilitates “Federated Data Science,” which means data analytics jobs and the building of machine learning models using data contributed by multiple parties where each party retains exclusive access to their own underlying data. IAI provides users with software, software development kits and application programming interfaces, an internet portal that acts as a user interface, and associated documentation, including IAI’s proprietary task runner software together with any updates or modifications (“integrate.ai Software”). IAI also performs a service to make data for Federated Data Science available and enable one or more participants to create models from such data and otherwise analyze such data. This service, together with the integrate.ai Software, and all other content, documentation, products, support or other services provided by IAI constitute the “integrate.ai Platform”.
2. Account. In order to use the integrate.ai Platform, a user will need to provide an e-mail address, and set up password, authentication tokens for use with the integrate.ai Software, and other related credentials required to access the integrate.ai Platform in an authorized manner (“Credentials”). Each user with Credentials to access the integrate.ai Platform (each, a “Participant”), will have the right and ability to access the integrate.ai Platform subject to the Standard User Terms and Conditions (the “User Terms”) and, if applicable, their agreement with IAI (each such right of access an “Account”). A Participant will provide any additional information specified by IAI in a purchase order to establish an Account.
3. Types of Usage. A Participant may use the integrate.ai Platform to create models and otherwise analyze data (“Data Science Usage”), using such Participant’s own data (“Customer Loaded Data”) or the data of other Participants (“Provisioned Data,” and together with Customer Loaded Data, “Data”). A Participant performing Data Science Usage (a “Data Consumer”) may obtain aggregated statistical information about a set of Data by running an analytics session (“Analytics Data”).
4. Models. A Data Consumer may input into the integrate.ai Platform source code, and other specifications, instructions, and configurations for Data Science Usage (“Model Code”). The integrate.ai Platform will provide the Data Consumer with performance metrics that provide information about the accuracy and predictive value of the models that Participants create and other Data Science Usage (“Performance Metrics”). Unless all Participants who provide Provisioned Data (“Data Providers”) authorize it through the integrate.ai Platform, the Data Consumer will not have access to certain results of the Data Science Usage, such as correlation coefficients, structures of machine learning models that transform Data, and other predictive algorithms (the “Model Results”). If all applicable Data Providers provide such authorization, the Data Consumer can receive the Model Results. The Data Consumer will not have direct access to the Provisioned Data at any time through the integrate.ai Platform. For purposes of this Agreement, a “Model” constitutes Model Code, Model Results, Performance Metrics, and all Data used to obtain the Model Results.
5. Workspaces. In order for a Participant to use the integrate.ai Platform to conduct Data Science Usage, the Participant will use their Account to create an online interface that operates the iintegrate.ai Software (each, a “Workspace”). Such Participant will designate one or more individuals to control such Participant’s Workspace (in each case, an “Admin”), including (i) specifying Analytics Data and Performance Metrics, (ii) managing of Participants invited to participate in Data Science Usage and provide Provisioned Data, and (iii) determining specifications, instructions, and code input or loaded to create Models and otherwise analyze Data.
6. Customer Data and Customer Content. As between a Participant and IAI, a Participant will retain all right, title, and interest in, and to, any rights that Participant may hold in (i) the Data and Model Code that such Participant provides on the integrate.AI Platform, (ii) the Performance Metrics, Model Results, and Analytics Data from the Data Sessions that a such Participant manages, and (iii) any other information, data, records, materials, works, or other content that Participant uploads, transfers, submits or inputs into the integrate.ai Platform (“Customer Content”). A Participant may suspend access to its Provisioned Data at any time using Participant’s integrate.ai Software.
7. Participating in Data Science Usage. The Admin of a Workspace will solely control (i) access to such Workspace by other Participants, (ii) participation in any associated Data Science Usage, and (iii) other Participant’s access to and use of any resulting Performance Metrics, Analytics Data or Models. Each Participant is solely responsible for ensuring that any Data that such Participant provides is of appropriate quality for the applicable Data Science Usage and meets any requirements established by the applicable Admin (e.g., with respect to format and location).
8. Export. During the term of a Participant’s subscription to the integrate.ai Platform and for thirty (30) days thereafter, a Participant may export Customer Content from the integrate.ai Platform. After this export period, IAI may delete Customer Content in accordance with its standard schedule and procedures. If a Participant elects to proactively delete its Account at any time, Customer Content associated with such Account will be deleted permanently and cannot be retrieved.
